These Website Design & Development Terms of Service (“Terms”) govern the website design, development, content, ecommerce, logo, maintenance, and related services provided by [LEGAL BUSINESS/OWNER NAME], doing business as OC Site Maker (“OC Site Maker,” “we,” “us,” or “our”) to the individual or business purchasing services (“Client,” “you,” or “your”).
By signing an agreement, approving an estimate, electronically accepting these Terms, paying a deposit, or otherwise authorizing OC Site Maker to begin work, Client acknowledges that Client has received, reviewed, and agrees to these Terms.
These Terms, together with the applicable project estimate, proposal, invoice, and/or project scope approved by Client, constitute the agreement between OC Site Maker and Client for the applicable project.

1. SERVICES
OC Site Maker provides website design and development services for individuals, entrepreneurs, startups, small businesses, organizations, and other clients.
Depending on the package or services purchased, OC Site Maker may provide:
• Website design and development
• Mobile-responsive website design
• Website content refinement
• Copywriting assistance
• Basic search engine optimization (SEO)
• Domain registration assistance
• Website hosting setup
• Ecommerce setup
• Payment-processing setup
• Booking or appointment features
• Logo design
• Website maintenance
• One-time website updates
• Other services specifically identified in the applicable Project Scope
Only services specifically included in the Client's approved Project Scope are included in the project price.
Services, features, pages, functionality, content creation, revisions, integrations, or other work outside the approved Project Scope may be subject to additional fees.

2. WEBSITE PACKAGES
OC Site Maker's website packages are currently offered as follows. Package pricing and inclusions may be changed for future projects.
Launch Website — $299
Includes:
• Up to 3 website pages
• Custom website design
• Mobile-friendly layout
• Contact form
• Basic SEO setup
• Social media links
• Domain and hosting setup
• Content refinement
• 1 revision round
• Website launch
Growth Website — $549
Includes everything in the Launch Website package, plus:
• Up to 5 website pages
• More customized design layouts
• FAQ page setup
• Photo gallery
• Image optimization
• Copywriting assistance
• 2 revision rounds
Commerce Website — Starting at $899
Includes everything in the Growth Website package, plus applicable ecommerce and advanced website features, which may include:
• Online store setup
• Product catalog setup
• Payment processing setup
• Shipping and tax configuration, if applicable
• Booking or appointment features
• Advanced forms
• Custom features
• Enhanced copywriting assistance
Commerce Website pricing is based on the size, complexity, number of products, functionality, integrations, and other requirements of the project.
A specific written estimate will be provided before work begins.

3. ADDITIONAL SERVICES
Additional services may be purchased separately from a website package.
Current starting prices include:
• Additional website pages: $60 per page
• Professional copywriting: starting at $150 per page
• Logo design: starting at $150
• Online store add-on: starting at $400
• Website maintenance: starting at $40 per month
• One-time website updates: starting at $50
Starting prices are not guaranteed final prices. The final price may vary depending on the complexity, amount of work, functionality, content, products, integrations, or other requirements involved.
OC Site Maker will provide Client with the applicable price or estimate before substantial additional work begins.

4. PROJECT SCOPE AND ESTIMATES
Before work begins, OC Site Maker will provide Client with an estimate, proposal, package selection, invoice, or other written project documentation identifying the applicable services and price (“Project Scope”).
The Project Scope establishes the specific services included in the Client's project.
If Client requests additional work or materially changes the requirements of the project after approval, OC Site Maker may provide a revised estimate or additional quote.
OC Site Maker is not required to perform work outside the approved Project Scope without Client's approval of the applicable additional charge.

5. PAYMENT
Unless otherwise stated in the Project Scope:
1. A 50% deposit is required before work begins.
2. The remaining 50% balance is due before the website is launched or transferred for Client's use.
3. Payment instructions will be provided with Client's invoice.
4. Accepted payment methods may include direct bank deposit, PayPal, Zelle, Venmo, or other payment methods offered by OC Site Maker.
Work will not begin until the required deposit has been received.
OC Site Maker may pause work if an amount due is not paid when required.
The website will not be launched or transferred to Client for final use until all amounts due for the project have been paid in full, unless otherwise agreed in writing.

6. PROJECT DEPOSIT, CANCELLATION, AND REFUNDS
The 50% project deposit reserves project time and authorizes OC Site Maker to begin the project.
Once OC Site Maker has begun performing work on the project, the deposit will be retained and applied to the work performed, time reserved, project preparation, scheduling, and other project-related services.
If Client decides after work has begun that Client no longer wants the website or otherwise chooses to discontinue the project, OC Site Maker may retain the deposit.
If additional work or expenses have been incurred beyond the deposit amount, Client may remain responsible for those amounts.
Nothing in this section is intended to waive, restrict, or eliminate any cancellation, refund, rescission, or other right that Client may have under applicable law.
Amounts paid directly to third-party providers, including domain registrars, hosting providers, software providers, plugins, subscriptions, or other third parties, are subject to the refund policies of those providers. OC Site Maker is not responsible for amounts that a third-party provider does not refund.

7. CLIENT RESPONSIBILITIES
Client agrees to provide the information, materials, access, decisions, and approvals reasonably necessary to complete the project.
Depending on the project, Client may be required to provide:
• Business information
• Website content
• Photographs and images
• Logos and branding materials
• Product information
• Product pricing
• Contact information
• Social media links
• Business hours
• Domain preferences
• Hosting information
• Third-party account access
• Product descriptions
• Business policies
• Legal disclosures applicable to Client's business
Client is responsible for providing accurate and complete information.
OC Site Maker is not responsible for delays caused by Client's failure to provide required information, materials, account access, decisions, feedback, or approvals.

8. CONTENT REFINEMENT
Where included in a package, content refinement consists of reasonable editing and organization of Client-provided material.
Content refinement may include:
• Correcting grammar
• Improving readability
• Organizing information
• Making minor wording adjustments
• Improving presentation of existing content
Content refinement does not mean complete content creation from scratch.
Professional copywriting services are available separately.

9. COPYWRITING AND CLIENT APPROVAL
Where copywriting or copywriting assistance is included, OC Site Maker may create, edit, organize, or refine website content based on information supplied by Client.
Client is responsible for reviewing and approving all final website content before publication.
Client remains responsible for the accuracy, legality, and factual basis of claims relating to Client's business, products, services, prices, qualifications, testimonials, guarantees, professional credentials, and other business information.
OC Site Maker does not provide legal, medical, financial, tax, regulatory, or other professional advice through website content.

10. CLIENT-PROVIDED MATERIALS
Client represents that Client owns, has permission to use, or otherwise has the legal right to provide OC Site Maker with all photographs, text, logos, trademarks, graphics, videos, documents, product information, and other materials supplied by Client.
Client is responsible for obtaining all necessary permissions, licenses, releases, and consents.
Client agrees not to provide materials that infringe the intellectual property, privacy, publicity, or other legal rights of another person or entity.
OC Site Maker is not responsible for claims arising from Client's unauthorized use of materials supplied or approved by Client.

11. REVISION ROUNDS
The number of revision rounds included in a project depends on the package purchased:
• Launch Website: 1 revision round
• Growth Website: 2 revision rounds
• Commerce Website: 3 revision rounds
A revision round means one consolidated batch of reasonable changes requested by Client after reviewing the current version of the website.
A revision round may include reasonable modifications to the existing website, including:
• Text corrections or changes
• Image replacements
• Color adjustments
• Font adjustments
• Spacing and alignment changes
• Minor layout adjustments
• Changes to existing buttons or calls-to-action
• Rearrangement of existing content
• Reasonable refinements to the existing design
Client should provide revision requests in one reasonably consolidated list for each revision round.
A revision round does not constitute unlimited individual requests or unlimited redesigns.

12. CHANGES OUTSIDE A REVISION
The following generally constitute additional work rather than an included revision:
• Adding pages beyond the package allowance
• Adding new functionality
• Adding an online store not included in the original Project Scope
• Adding booking or appointment functionality not included in the Project Scope
• Adding custom integrations
• Adding substantial new content
• Adding substantial new product catalogs
• Changing the fundamental structure of the website
• Requesting a substantially different design concept
• Rebuilding substantial portions of the website
• Changing the website platform after development has begun
• Changing the theme or fundamental development structure after development has begun
• Any request that materially increases the time or complexity of the original project
A Client may request significant changes during an included revision round; however, if the requested changes require substantial redevelopment or effectively constitute a new website or materially expanded Project Scope, OC Site Maker may quote the additional work separately.

13. ADDITIONAL REVISIONS
Once the revision rounds included in the Client's package have been used, additional revision work may be purchased separately.
The price for additional revisions will be communicated to Client before the additional work begins.
Substantial redesign or development requests may instead be quoted as additional project work.

14. PROJECT TIMELINE
OC Site Maker will make reasonable efforts to complete projects within the estimated timeframe communicated to Client.
Simple website projects may be completed in as little as five business days after all required Client materials, information, account access, and approvals have been received.
Any stated completion timeframe is an estimate and is not a guaranteed deadline unless expressly agreed to in writing.
The project timeline may be extended by:
• Delayed Client responses
• Missing content
• Missing images or materials
• Delayed approvals
• Additional revisions
• Changes in Project Scope
• Third-party service issues
• Domain or DNS issues
• Hosting issues
• Plugin or software issues
• Ecommerce requirements
• Custom functionality
• Other circumstances outside OC Site Maker's reasonable control

15. CLIENT REVIEW AND APPROVAL
When OC Site Maker provides the completed website for review, Client will have 15 business days to review the website and provide applicable revision requests.
Client is responsible for reviewing the website carefully, including:
• Text
• Images
• Contact information
• Phone numbers
• Email addresses
• Links
• Business information
• Prices
• Products
• Services
• Business hours
• Other factual information
Client should provide all applicable revision requests during the review period.
If Client does not provide feedback or otherwise respond within the 15-business-day review period, OC Site Maker may treat the project as approved for purposes of completing the project, final billing, and launch, subject to applicable law and the circumstances of the project.

16. WEBSITE LAUNCH
The website will generally be launched after:
1. The agreed Project Scope has been completed;
2. Client has used the revision rounds included in the applicable package;
3. Client has approved the website, or the applicable review period has expired; and
4. All amounts due have been paid in full.
OC Site Maker may delay publication if the final payment has not been received or required Client information or approvals remain outstanding.

17. DOMAIN NAMES
When domain setup is included in the selected package, OC Site Maker will assist Client in selecting and registering an appropriate domain name.
Domain registration fees are separate from the website design fee unless expressly stated otherwise.
The domain will be registered in Client's name or otherwise established so that Client maintains ownership and control.
Domain availability and pricing are determined by third-party domain registrars and may vary.
OC Site Maker does not guarantee that a particular domain name will be available.

18. WEB HOSTING
Website hosting is a separate ongoing expense paid to the hosting provider unless expressly included in a separate service arrangement.
OC Site Maker will assist with setting up and connecting Client's hosting account when hosting setup is included in the selected package.
The hosting account will be established in Client's name whenever reasonably possible.
Client is responsible for ongoing hosting charges.
Routine hosting management is not included in the one-time website design fee unless specifically stated in the Project Scope or maintenance agreement.

19. WEBSITE OWNERSHIP
After the website project has been completed and all amounts owed to OC Site Maker have been paid in full, Client will own the original website work created specifically for Client under the Project Scope, subject to the third-party materials and services described in these Terms.
Client ownership does not include ownership of third-party software, plugins, themes, fonts, stock photography, applications, platforms, or other materials that are licensed rather than owned.
Where applicable, third-party materials remain subject to the license and terms imposed by their respective providers.
Client retains ownership and control of its domain name and hosting account.

20. INTELLECTUAL PROPERTY
To the extent that OC Site Maker owns copyright or other transferable intellectual property rights in original website materials created specifically for Client under the Project Scope, those rights will transfer to Client upon full payment, except for OC Site Maker's pre-existing materials and third-party materials.
OC Site Maker retains ownership of its pre-existing:
• Templates
• Processes
• Methods
• Tools
• General design techniques
• Reusable components
• Know-how
• Development systems
• Other materials not uniquely created for Client
Client receives the right to use those materials only to the extent necessary to use the completed website.
Third-party materials remain subject to their applicable licenses.

21. WORDPRESS, HOSTING, AND THIRD-PARTY SERVICES
OC Site Maker generally develops websites using WordPress and may use Hostinger or other third-party providers.
Websites may depend on third-party:
• Hosting providers
• Domain registrars
• Plugins
• Themes
• Software
• Payment processors
• APIs
• Email services
• Scheduling systems
• Ecommerce services
• Other integrations
OC Site Maker does not control third-party services and cannot guarantee their continued availability, pricing, security, functionality, compatibility, policies, or operation.
Changes, interruptions, discontinued services, software updates, security issues, or incompatibilities involving third-party services may require additional work or expense.

22. SEARCH ENGINE OPTIMIZATION
Basic SEO setup is included in applicable website packages.
Basic SEO may include reasonable foundational practices such as:
• Page titles
• Meta descriptions
• Headings
• Image optimization
• Website structure
• Basic on-page optimization
OC Site Maker does not guarantee:
• Google indexing
• Search engine rankings
• First-page placement
• Specific keyword rankings
• Search traffic
• Leads
• Sales
• Revenue
• Google Maps placement
• Any particular search engine result
Search engines control their own algorithms, indexing, and rankings.

23. ECOMMERCE WEBSITES
Commerce Website projects may include ecommerce features specifically identified in the Project Scope.
Client is solely responsible for the products and services sold through Client's website and for complying with laws and regulations applicable to Client's business.
Client is responsible for:
• Product legality
• Product descriptions
• Product pricing
• Inventory information
• Shipping policies
• Return and refund policies
• Taxes
• Payment processing
• Required disclosures
• Age restrictions
• Industry-specific requirements
• Required licenses and permits
OC Site Maker does not provide legal, tax, accounting, regulatory, or compliance advice.

24. SHIPPING, TAX, AND PAYMENT CONFIGURATION
Where ecommerce configuration is included, OC Site Maker may assist with configuring available website or third-party settings based on information supplied by Client.
Client is responsible for determining the appropriate tax rates, shipping rules, payment methods, refund policies, and other business settings applicable to Client.
OC Site Maker does not guarantee that Client's tax, shipping, payment, or ecommerce configuration satisfies every legal or regulatory requirement applicable to Client.

25. ACCESSIBILITY AND LEGAL COMPLIANCE
OC Site Maker uses reasonable website design and development practices, including consideration of mobile responsiveness and commonly recognized accessibility practices.
Unless expressly stated in the Project Scope, OC Site Maker does not represent or warrant that a website complies with the Americans with Disabilities Act (ADA), WCAG, California accessibility requirements, privacy laws, industry regulations, or other legal requirements.
Client is responsible for determining what legal, accessibility, privacy, regulatory, licensing, and industry-specific requirements apply to Client's business.

26. CLIENT BUSINESS COMPLIANCE
Client is solely responsible for ensuring that Client's business and website comply with applicable laws and regulations.
This may include laws concerning:
• Privacy
• Consumer protection
• Advertising
• Accessibility
• Professional licensing
• Taxes
• Ecommerce
• Product regulations
• Age restrictions
• Intellectual property
• Industry-specific requirements
OC Site Maker is not acting as Client's attorney, accountant, tax advisor, compliance consultant, or other professional advisor.

27. WEBSITE SECURITY
OC Site Maker uses reasonable website-development practices but cannot guarantee that a website will be completely secure or immune from:
• Hacking
• Malware
• Unauthorized access
• Data breaches
• Software vulnerabilities
• Plugin vulnerabilities
• Third-party security incidents
• Other security threats
Client is responsible for maintaining appropriate passwords, account security, backups, software updates, and other security practices unless those services are specifically included in a maintenance agreement.

28. WEBSITE MAINTENANCE
Website maintenance is optional.
Maintenance services currently start at $40 per month.
Maintenance may include:
• Updating text
• Changing images
• Adding pages
• Updating services
• Updating products
• General website updates
• Routine website management
The specific services included in a maintenance plan will be identified when the maintenance service is purchased.
Maintenance does not automatically include:
• Major redesigns
• Complete website rebuilds
• Extensive development
• Custom functionality
• Major ecommerce development
• New integrations
• Troubleshooting caused by third-party services
• Other work outside the agreed maintenance scope
Additional work may be quoted separately.
If maintenance is provided on a recurring basis, the applicable billing frequency, price, renewal terms, and cancellation procedure will be disclosed to Client before the recurring service begins and will be administered in accordance with applicable California law.

29. ONE-TIME WEBSITE UPDATES
Clients who do not maintain an ongoing maintenance plan may request individual website updates.
One-time website updates currently start at $50.
The actual price will depend on the nature, amount, and complexity of the requested work.
OC Site Maker will communicate the applicable price before substantial additional work begins.

30. WEBSITE PERFORMANCE AND BUSINESS RESULTS
OC Site Maker provides website design and development services and does not guarantee any particular business result.
OC Site Maker does not guarantee that a website will generate:
• Customers
• Leads
• Sales
• Revenue
• Advertising income
• Search traffic
• Increased business revenue
• Specific conversion rates
Business performance depends on numerous factors outside OC Site Maker's control.

31. PORTFOLIO AND PROMOTIONAL USE
Client grants OC Site Maker permission to display the completed website, Client's business name, screenshots, and related project materials in OC Site Maker's portfolio, website, social media, advertising, and promotional materials.
If Client requires the website or project to remain confidential or does not want the project displayed publicly, Client must notify OC Site Maker in writing before project completion.

32. PROJECT ABANDONMENT
If Client fails to respond to reasonable project communications or fails to provide required information, materials, access, feedback, or approvals for 30 consecutive days, OC Site Maker may consider the project abandoned.
If a project is abandoned:
• The project deposit will be retained;
• OC Site Maker may close the project;
• Client remains responsible for amounts properly due for additional work or approved expenses;
• Resuming the project is subject to OC Site Maker's availability;
• OC Site Maker may require a new estimate or restart fee before resuming work.
Nothing in this section waives any cancellation or refund right that cannot legally be waived.

33. SUSPENSION OR TERMINATION
OC Site Maker may suspend or terminate services if Client:
• Fails to make required payments;
• Fails to provide necessary information or materials;
• Becomes unresponsive;
• Requests unlawful, fraudulent, deceptive, or infringing content;
• Materially changes the Project Scope without agreeing to applicable additional charges;
• Materially breaches these Terms.
Client may cancel a project subject to the cancellation and refund provisions of these Terms and applicable law.
Upon termination, Client remains responsible for amounts properly due for services performed, approved additional work, and approved third-party expenses incurred through the effective date of termination.

34. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, OC Site Maker provides website design and development services on an “as is” and “as available” basis.
OC Site Maker does not guarantee that a website will be:
• Completely error-free;
• Continuously available;
• Completely secure;
• Compatible with every device;
• Compatible with every browser;
• Free from third-party interruptions;
• Compatible with every future software update.
OC Site Maker does not guarantee particular SEO, marketing, traffic, sales, revenue, or business results.
Nothing in these Terms is intended to exclude, restrict, or limit any warranty, right, remedy, or liability that cannot lawfully be excluded, restricted, or limited.

35. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, OC Site Maker will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, goodwill, or other intangible losses arising from or relating to the services.
To the maximum extent permitted by applicable law, OC Site Maker's total aggregate liability arising from a particular project will not exceed the amount Client actually paid to OC Site Maker for that project.
This limitation does not apply to liability that cannot legally be limited or excluded.
Nothing in these Terms is intended to exempt OC Site Maker from responsibility for its own fraud, willful injury, or violation of law where such limitation is prohibited by applicable law.

36. CLIENT INDEMNIFICATION
To the extent permitted by applicable law, Client agrees to defend, indemnify, and hold harmless OC Site Maker and its owners, contractors, and service providers from third-party claims, damages, liabilities, costs, and reasonable expenses arising from:
• Materials supplied by Client;
• Client's products or services;
• Client's business practices;
• Client's violation of applicable law;
• Client's unauthorized use of third-party content;
• Information or representations supplied or approved by Client.
This provision does not apply to the extent a claim results from OC Site Maker's own conduct for which indemnification cannot legally be required.

37. FORCE MAJEURE
OC Site Maker will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including:
• Natural disasters
• Severe weather
• Power outages
• Internet outages
• Cyberattacks
• Government actions
• Labor disruptions
• Hosting failures
• Third-party service interruptions
• Software outages
• Platform changes
• Other circumstances that could not reasonably have been prevented

38. ELECTRONIC COMMUNICATIONS AND SIGNATURES
Client agrees that electronic communications, electronic approvals, electronic signatures, and electronically delivered documents may be used in connection with the services.
To the extent permitted by applicable law, an electronic signature or electronic approval may have the same legal effect as a handwritten signature.
Client agrees to maintain access to electronic copies of agreements, estimates, invoices, and other project records.

39. GOVERNING LAW
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Any dispute shall be brought in a court of competent jurisdiction in California, subject to any rights Client may have under applicable law.
Nothing in these Terms is intended to deprive a consumer of a forum or legal right that cannot lawfully be waived.

40. DISPUTE RESOLUTION
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve any dispute through direct communication.
Nothing in this section prevents either party from exercising a legal right or seeking a remedy that cannot lawfully be waived.

41. CHANGES TO THESE TERMS
OC Site Maker may update these Terms for future projects.
The version of these Terms accepted by Client at the beginning of a project will govern that project unless the parties subsequently agree in writing to different terms.

42. ENTIRE AGREEMENT
These Terms, together with the applicable Project Scope, approved estimate, invoice, and other written project documents expressly incorporated into the agreement, constitute the entire agreement between OC Site Maker and Client concerning the applicable project.
If a specific provision in an approved Project Scope conflicts with these general Terms, the specific Project Scope will control for that project.

43. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable where legally permitted, and the remaining provisions will remain in effect.

44. NO WAIVER
Failure by either party to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.
